Regulation FD Disclosure.
As discussed in Item 8.01, on December 14, 2012, MPG Office Trust, Inc. (the “Company”) issued a press release announcing that a trustee sale was held with respect to 3800 Chapman, an office property located in Central Orange County.
The information being furnished pursuant to Item 7.01 shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. The information in this Current Report on Form 8-K shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act regardless of any general incorporation language in such filing.
Section 8 – Other Events
On December 14, 2012, the Company issued a press release announcing that a trustee sale was held today with respect to 3800 Chapman, a copy of which is furnished as Exhibit 99.1 herewith.
As a result of the foreclosure, the Company was relieved of the obligation to repay the $44.4 million mortgage loan secured by the property, as well as accrued contractual and default interest on the mortgage loan. In addition, the Company received a general release of claims under the loan documents pursuant to an in-place agreement with the special servicer of the mortgage loan. Our Operating Partnership, MPG Office, L.P., had previously received a release from the special servicer from all claims under the guaranty of partial payment.
