Item 5.03. | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On December 13, 2012, the Board of Directors (the Board) of Emmis Communications Corporation (the Company) adopted an amendment to the Companys Second Amended and Restated Code of By-Laws (the By-Laws), effective immediately. The amendment added a new Section 6.6 of the By-Laws to provide that Circuit or Superior Courts of the Marion County, State of Indiana, or the United States District Court in the Southern District of Indiana in a case of pendent jurisdiction, are exclusive forum for shareholder derivative actions, claims for breach of fiduciary duty, claims arising pursuant to the Indiana Business Corporation Law or the Companys articles of incorporation or by-laws, or claims governed by the internal affairs doctrine, in each case subject to such court having personal jurisdiction over the indispensable parties named as defendants therein. This description of the amendment to the By-Laws is a summary and is qualified in its entirety by the text of the amendment to the By-Laws, filed as Exhibit 3.2 hereto and incorporated by reference herein.
