On December 13, 2012, Ryman Hospitality Properties, Inc. issued a press release announcing the results of stockholder elections and valuation related to the special dividend in the amount of $6.84 per share of common stock to be paid in the form of cash or common stock on December 21, 2012 to stockholders of record as of the close of business on November 13, 2012. A copy of the press release is filed herewith as Exhibit 99.1 and incorporated herein by reference.
