Item 5.02                   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Effective December 11, 2012, the board of directors (the “Board”) of Mattress Firm Holding Corp., a Delaware corporation (the “Company”), elected Mr. Michael S. Galvan to serve as Senior Vice President and Chief Accounting Officer of the Company.  Mr. Galvan has been designated as the Company’s principal accounting officer.

 

From 2008 until December 2012, Mr. Galvan, 44, served as Vice President and Chief Accounting Officer of Main Street Capital Corporation (NYSE: MAIN), an investment company. Prior to that, Mr. Galvan was senior manager of financial operations with Direct Energy, a retail gas and electricity service provider since October 2006. From September 2005 to October 2006, he was a senior audit manager with Malone & Bailey, PC, where he managed and coordinated audits of both publicly traded and private companies. From March 2003 to September 2005, Mr. Galvan was Director of Bankruptcy Coordination at Enron Corporation. Prior to March 2003, he served in other executive positions at various Enron affiliates. Prior to joining Enron, Mr. Galvan was a senior auditor with Arthur Andersen LLP.

 

There is no arrangement or understanding between Mr. Galvan and any other person pursuant to which Mr. Galvan was selected as an officer of the Company.  There are no transactions involving Mr. Galvan requiring disclosure under Item 404(a) of Regulation S-K of the SEC.
