Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 7, 2012, Union First Market Bankshares Corporation (the “Company”) amended and restated the management continuity employment agreement (the “Agreement”) between the Company and Robert M. Gorman dated as of July 17, 2012 (the “Initial Agreement”). The amended Agreement amends section 5(c) of the Initial Agreement and removes the ability of Mr. Gorman to terminate his employment during the Window Period (as defined therein) without any reason and still be entitled to receive severance and benefits.
A copy of the Amended Agreement is attached to this Form 8-K as Exhibit 10.1, and is incorporated herein by reference.
