At November 13, 2012, there were 26,781,785 shares of UGI Utilities, Inc. Common Stock, par value $2.25 per share, outstanding, all of which were held, beneficially and of record, by UGI Corporation.

The Registrant meets the conditions set forth in General Instruction I(1)(a) and (b) of Form 10-K and is therefore filing this Form 10-K with the reduced disclosure format permitted by that General Instruction.

EXPLANATORY NOTE

This amendment No. 1 on Form 10-K/A (this “Amendment”) amends the UGI Utilities, Inc. Annual Report on Form 10-K for the fiscal year ended September 30, 2012, originally filed with the U.S. Securities and Exchange Commission on November 20, 2012 (the “Initial Filing”). We are filing this Amendment to correct and re-file Exhibit 12.1, Computation of Ratio of Earnings to Fixed Charges.

Except as described above, no other changes have been made to the Initial Filing. The Initial Filing continues to speak as of the date filed.
