Item 7.01 Regulation FD

SunGard Data Systems Inc. (“SunGard”) is an indirect wholly owned subsidiary of SunGard Capital Corp II (SCC II), which is a subsidiary of SunGard Capital Corp (“SCC” and together with SCC II, the “Company”). SunGard is seeking to borrow $720 million of term loans under its senior secured credit facilities. SunGard plans to use net proceeds from the loan, along with available cash, to finance a dividend to the Company’s stockholders of approximately $720 million. As a result of the dividend, the Company will make approximately $30 million of dividend-equivalent cash payments to certain of its equity award holders, which will be paid over the course of five years.
