Pursuant to the exercise of an option granted by Martin Midstream Partners L.P. (the “Partnership”) in the underwriting agreement, dated November 20, 2012, among the Partnership and RBC Capital Markets, LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, UBS Securities LLC and Wells Fargo Securities, LLC, as representatives of the underwriters named therein, on November 29, 2012, the Partnership consummated an offering of 450,000 additional common units representing limited partner interests in the Partnership.
