ITEM 5.02                                  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 20, 2012, ACNB Corporation appointed J. Emmett Patterson to the Board of Directors to fill a vacancy and to serve as a Class 1 Director for the remaining term until the 2013 Annual Meeting of Shareholders, as more fully described in the attached press release as of November 27, 2012.  The vacancy on the ACNB Corporation Board of Directors was due to the death of Jennifer L. Weaver on July 28, 2012.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
