ITEM 5.02                                  DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On November 21, 2012, Kurt J. Van Wagenen resigned as President, Chief Executive Officer and director of FiberTower Corporation (the “Company”) and each of its subsidiaries. Mr. Van Wagenen’s resignation was not a result of a disagreement with the Company.

On November 19, 2012, the board of directors of the Company designated Ornella Napolitano (age 56) as an “executive officer” of the Company. Since July 2006, Ms. Napolitano has served as Vice President, Finance of the Company and each of its subsidiaries. Since January 13, 2012, Ms. Napolitano has served as Treasurer of the Company and each of its subsidiaries.
