(a) Series B Director Eric Hakmiller voluntarily tendered his resignation from the Board of Directors of Southwest Iowa Renewable Energy, LLC (the “Company”) effective November 20, 2012. Mr. Hakmiller did not resign due to any disagreement with the Company regarding any matter relating to the Company’s operations, policies or practices.
(d) On November 20, 2012, Bunge North America, Inc. (“Bunge”), as the sole Series B Member and pursuant to the Company’s Third Amended and Restated Operating Agreement, dated July 17, 2009, appointed Bailey Ragan as the Series B Director of the Company to replace Mr. Hakmiller. Mr. Ragan previously served on the Board of Directors of the Company beginning in 2006 until July 17, 2009. Mr. Ragan has held various positions within Bunge for more than 25 years and currently is the Vice President, Grain, Biofuels and Fertilizer. As disclosed in the Company’s Annual Report on Form 10-K, Bunge is a substantial equity owner of and lender to the Company and, in addition, the Company is party to a series of contractual relationships with Bunge.
