Other Events.

On November 6, 2012, Warner Chilcott Public Limited Company (the “Company”) issued a press release announcing the declaration of a semi-annual cash dividend in the amount of $0.25 per share (the “Dividend”). The Dividend is payable on December 14, 2012 to shareholders of record of the Company at the close of business on November 30, 2012. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
