Appointment of New Director

 

On October 29, 2012, Zion Oil & Gas, Inc. (hereinafter, the “Company”) appointed Harvey Eugene Scammahorn to the Board of Directors of the Company (the “Board”). Mr. Scammahorn is also being appointed to the Audit Committee of the Company’s Board of Directors.

 

Mr. Scammahorn, age 67, is an Internal Audit Director at Xerox Business Services, LLC, a position that he has held since 2001. In this position, he is primarily responsible for consulting and advising operating management in preparations for over 100 external SSAE (formerly SAS 70) audits of domestic and global business process outsourcing contracts. Mr. Scammahorn has over 30 years of business experience, including two big four public accounting firms, major oil and gas companies and banking and consulting. He has participated in audit committee presentations and meetings for major clients, the Federal Reserve Bank of Dallas and Xerox Business Services, LLC. He received a BS Accounting in 1973 from the University of Tulsa and is a Certified Public Account and a Certified Financial Planner Professional.

 

There are no arrangements or understandings between Mr. Scammahorn and any other person pursuant to which he was elected to the Board, and there are no relationships between Mr. Scammahorn and the Company that would require disclosure under Item 404(a) of Regulation S-K of the Securities Exchange Act of 1934, as amended. The Company compensates independent directors at an annual rate of $18,000, excluding additional amounts payable in respect of Board committees on which a director may serve. For the current year, Mr. Scammahorn will receive a pro rata portion of such compensation.
