Item 3.02 Unregistered Sales of Equity Securities.
On October 29, 2012, Maverick Minerals Corp. issued 3,039,057 shares of its common stock to one investor upon the conversion of a convertible debenture at a conversion price of $0.10 per share. The debenture is in the principal amount of $300,000 and accrues interest at a rate of 8% per annum. The shares were issued to one investor that represented that they were not a U.S. person (as that term is defined in Regulation S of the Securities Act of 1933) in an offshore transaction relying on Regulation S and/or Section 4(2) of the Securities Act of 1933.
