Item 2.02 Results of Operations and Financial Condition.
On November 1, 2012, DDR Corp. (the “Company”) issued a News Release containing financial results of the Company (the “News Release”) and a quarterly financial supplement containing financial and property information of the Company (“Quarterly Supplement”) for the three- and nine-month periods ended September 30, 2012. Among other things, the News Release reports net income of $0.04 per diluted share for the three-month period ended September 30, 2012 and net loss of $0.19 per diluted share for the nine-month period ended September 30, 2012, as compared to net loss of $0.18 and $0.28 per diluted share for the three- and nine-month periods ended September 30, 2011, respectively. A copy of the News Release is attached hereto as Exhibit 99.1 and a copy of the Quarterly Financial Supplement is attached hereto as Exhibit 99.2 and are each incorporated herein by reference. This information shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be incorporated by reference into a filing under the Securities Act of 1933 (the “Securities Act”) or the Exchange Act, except as shall be set forth by specific reference in such filing.
