Item 1.01 Entry into a Material Definitive Agreement.
 
As previously reported by GlyEco, Inc., a Nevada corporation (the “Company”), on a Form 8-K filed by the Company with the Securities and Exchange Commission (the “Commission”) on October 9, 2012, GlyEco Acquisition Corp. #7, an Arizona corporation and wholly-owned subsidiary of the Company, entered into an Asset Purchase Agreement (the “Agreement”) on October 3, 2012, with Antifreeze Recycling, Inc., a South Dakota corporation (“ARI”), and Robert J. Kolhoff, the selling principal of ARI (the “Selling Principal”).

ARI operates a business located in Tea, South Dakota, relating to processing used glycol streams, primarily used antifreeze, and selling glycol as remanufactured product.

Pursuant to the Agreement, GlyEco Acquisition Corp. #7 agreed to purchase all of the glycol-related assets of ARI, free and clear of any liabilities or encumbrances, in consideration for an aggregate purchase price of $450,000, consisting of 361,200 unregistered shares of the Company’s common stock (subject to adjustment as provided in the Agreement) at an agreed upon value of $1.00 per share, and with satisfaction of ARI’s outstanding debt, in an amount of $88,800 which is to be paid at closing (the “Acquisition”).

On October 26, 2012, GlyEco Acquisition Corp. #7, GlyEco Acquisition Corp. #6, an Arizona corporation and wholly-owned subsidiary of the Company (the “Acquisition Sub”), ARI, and Selling Principal entered into a Novation Agreement and Amendment No. 1 to Asset Purchase Agreement (the “Novation and Amendment”) in which minor procedural amendments were made.
 
The foregoing description of the Novation and Amendment is qualified in its entirety by reference to the Novation Agreement and Amendment No. 1 to Asset Purchase Agreement, a copy of which is filed as an exhibit to this Form 8-K and is incorporated by reference herein.

Item 2.01 Completion of Acquisition or Disposition of Assets.

On October 26, 2012, Acquisition Sub, ARI, and Selling Principal consummated the Acquisition described in Item 1.01 with an effective date of October 29, 2012.  The disclosure made under Item 1.01 of this Form 8-K/A as well as the Form 8-K filed by the Company with the Commission on October 9, 2012, is incorporated by reference herein.

Pursuant to the Agreement, Acquisition Sub acquired all of the glycol-related assets of ARI, free and clear of any liabilities or encumbrances, consisting of ARI’s personal property (equipment, tools, machinery, furniture, supplies, materials, and other tangible personal property), inventory, intangible property, contractual rights, books and records, intellectual property, accounts receivable (excluding trade accounts receivable equal to or greater than 90 days), goodwill, and miscellaneous assets.   The Company will file an amendment to this Form 8-K/A that will disclose the final purchase price allocation for the assets listed above, following the execution of Amendment No. 2 by the parties.  Amendment No. 2 will effectuate the parties’ agreement as to the allocation of the purchase price to the assets.  Upon execution of such Amendment No. 2, unregistered shares of Company common stock that was described above will be issued to the Selling Principal.  The amendment to this Form 8-K/A will provide appropriate disclosure on this issuance.

The foregoing description of the Agreement is qualified in its entirety by reference to the Asset Purchase Agreement, a copy of which was filed as an exhibit to the Form 8-K filed with the Commission on October 9, 2012, and is incorporated by reference herein.

The financial statements required under Item 9.01(a) of Form 8-K are not included in this Form 8-K/A. The Company will file an amendment to this Form 8-K/A to include the required financial statements not later than 71 calendar days after the date that this Form 8-K/A was required to be filed, as permitted under paragraph (a)(4) of Item 9.01 of Form 8-K.

(b) Pro forma financial information.

The pro forma financial information required under Item 9.01(b) of Form 8-K are not included in this Form 8-K/A. The Company will file an amendment to this Form 8-K/A to include the required pro forma financial information not later than 71 calendar days after the date that this Form 8-K/A was required to be filed, as permitted under paragraph (b)(2) and (a)(4) of Item 9.01 of Form 8-K.
