Item 7.01 Regulation FD Disclosure.

On October 31, 2012, in satisfaction of certain regulatory requirements under the City Code on Takeovers and Mergers of the United Kingdom, CPPGroup Plc (“CPP”) issued a press release in which it announced the receipt of an initial, preliminary approach from Affinion Group, Inc. (“Affinion”) which may or may not lead to an offer being made by Affinion for CPP.

Affinion confirms that its considerations are at a very preliminary stage and there is no certainty that any offer either will be made, or as to the terms on which any offer may be made. Affinion also confirms that there are no agreements between Affinion and CPP under which Affinion is required to acquire CPP.
