Item 5.03. Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.
On October 25, 2012, the board of directors of the Federal Home Loan Bank of Atlanta (Bank) approved and adopted certain amendments to the Bank’s organization certificate, to:
| — | Update references to the Bank’s regulator; |
| — | Add a reference to the Enterprises Financial Safety and Soundness Act of 1992; and |
| — | Make certain nonsubstantive stylistic edits. |
The board of directors also approved and adopted certain amendments to the Bank’s bylaws, to:
| — | Revise the extent of the board’s selection of officers to the President and his direct reports who are Senior Vice Presidents and Executive Vice Presidents; and |
| — | Make certain clarifying edits. |
The description of the changes of the amended and restated organization certificate and the revised and restated bylaws contained in this report is qualified in its entirety by reference to the amended and restated organization certificate and the revised and restated bylaws, marked copies (to show changes from the prior version) of which are attached hereto as Exhibit 3.1 and 3.2, respectively, and incorporated herein by reference.
