Item 8.01. Other Events
On October 26, 2012, First Mariner Bancorp (the “Company”) issued a press release announcing that its Annual Meeting of Stockholders (the “Annual Meeting”) will be held on Monday, December 3, 2012 at 1:00 p.m. The record date for determining stockholders of record entitled to vote at the meeting is October 4, 2012. The date of the 2012 Annual Meeting will be more than 30 days after the anniversary of the 2011 annual meeting of stockholders. In this regard, the Company also announced the advanced notice deadlines for proposals by stockholders for the Annual Meeting. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
