Item 2.02 Results of Operations and Financial Condition.

On October 25, 2012, United Continental Holdings, Inc. (“UAL”), the holding company whose primary subsidiaries are United Air Lines, Inc. (“United”) and Continental Airlines, Inc. (“Continental”, and together with UAL and United, the “Company”), issued a press release announcing the financial results of the Company for third quarter 2012. The press release is attached as Exhibit 99.1 and is incorporated herein by reference.
