Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 19, 2012, the compensation committee of the board of directors (the “Compensation Committee”) of Unwired Planet, Inc. (“Unwired Planet”) approved a stipend of $10,000 per month for Michael Mulica, the chief executive officer of Unwired Planet, to cover travel and commuting expenses incurred by Mr. Mulica. The monthly stipend will be payable effective September 2012 and will continue monthly thereafter. The Compensation Committee also approved a one-time bonus of $29,705 to Mr. Mulica to cover taxes paid on the reimbursement of prior travel and commuting expenses for the period of October 2011 through August 2012.
