Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2012, Director J. Benson Porter informed the Federal Home Loan Bank of San Francisco ("Bank") that he would no longer be an officer of First Technology Federal Credit Union, Palo Alto, California. As a result, he resigned from the Bank's Board of Directors, effective October 16, 2012. Because Mr. Porter was no longer an officer or director of a Bank member, he no longer qualified for a director position on the Bank's Board of Directors. Under the rules of the Federal Housing Finance Agency, the Bank's Board of Directors will be required to select an officer or director of a Bank member located in California to fill the position vacated by Mr. Porter. The current term of that position ends December 31, 2013.
