Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Mark McGowan submitted his resignation from the Board of Directors of the Company on October 16, 2012. Mr. McGowan resigned from the Board as a result of demands related to other on-going business activities.
