Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On October 15, 2012, Harman International Industries, Incorporated (“Harman”) announced that Brian F. Carroll will not be standing for election to the Board of Directors of Harman when his term expires as of Harman’s 2012 Annual Meeting of Stockholders. Mr. Carroll will continue to serve as a director until the expiration of his current term.
A copy of Harman’s press release announcing that Mr. Carroll will not stand for reelection is attached hereto as Exhibit 99.1 and incorporated herein by reference.
