Item 3.02 Unregistered Sales of Equity Securities

On October 16, 2012, the Company issued an aggregate of 2,040,551 restricted shares of unregistered common stock (the “Shares”) to two accredited investors in private transactions as payment for services rendered during 2012. No solicitation was made and no underwriting discounts were given or paid in connection with these transactions. The Company believes that the issuance of shares in exchange for such services was exempt from registration with the Securities and Exchange Commission pursuant to Section 4(2) of the Securities Act of 1933.
