Item 8.01 Other Information.
On October 10, 2012, Bridgepoint Education, Inc. received a letter from the United States Department of Justice, Civil Division, Commercial Litigation Branch, “Justice Department”, informing the Company that the Justice Department is investigating the Company's compensation of its admissions personnel. In its letter, the Justice Department indicated that it is considering a formal process to obtain evidence as part of its investigation and stated it is open to a voluntary presentation by the Company addressing the subject of its investigation. Any such presentation should include specific admissions personnel whose compensation was reviewed in conjunction with the Department of Education Office of Inspector General's most recent audit report. The Company is evaluating the letter and intends to cooperate with the request made by the Justice Department. Pursuant to Company policy we are not able to comment further on this matter at this time.
