Item 8.01  Other Events


On April 8, 2011, Vision Industries, Corp. (“Vision”) commenced litigation against Lawrence Weisdorn and Donald Hejmanowski as well as ICE Conversions, Inc. (collectively the “Defendants”). Weisdorn and Hejmanowski are former employees and executives of Vision. The litigation included causes of action for alleged breach of fiduciary duty, fraud, conversion and unfair competition (amongst other causes) as charged by Vision against these Defendants.  The litigation has been resolved and Vision has dismissed its claims against these Defendants with prejudice. Vision has determined that these Defendants did not breach a fiduciary duty, or commit fraud or conversion.
