ITEM 8.01      OTHER EVENTS

On October 9, 2012, Cash America International, Inc. issued a press release announcing its entry into two purchase agreements to acquire a total of 34 new pawn lending locations in the States of Tennessee, North Carolina, Kentucky and Arizona.  The combined consideration for the two transactions is expected to be between $68 and $72 million in cash.  A copy of the press release is attached hereto as Exhibit 99.1.
