Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with a reorganization of the management organizational structure of Boston Private Financial Holdings, Inc. (the “Company”), James D. Dawson, Executive Vice President and Senior Integration Officer, will be leaving the Company as of December 28, 2012.

Clayton G. Deutsch, the Chief Executive Officer and President of the Company, said, “Jim is a highly capable and well-rounded executive who has proven that he can handle just about any situation that is thrown his way, even in the most difficult of circumstances. Jim has been a champion of our Company throughout good and difficult times. He has an uncanny ability to develop long-lasting relationships, and his service and dedication to our Company has been invaluable.” The Company wishes to thank Mr. Dawson for his 16 years of service.
