Item 7.01. Regulation FD Disclosure.

On October 1, 2012, the Company issued a press release announcing that it intends to offer, subject to market and other conditions, $1.35 billion in aggregate principal amount of convertible senior debentures due 2042, only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”).

A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The debentures, and any shares of the Company’s common stock issuable upon conversion of the debentures, have not been and will not be registered under the Securities Act, or any state securities law, and may not be offered or sold in the United States or to, or for the account or benefit of, any U.S. persons absent registration under the Securities Act, except pursuant to an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
