Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As reported in the Current Report on Form 8-K filed by Saul Centers, Inc. (the “Company”) on September 4, 2012, effective as of that day B. Francis Saul III resigned from the office of President of the Company and from the Company’s Board of Directors (the “Board”). Effective as of September 20, 2012 and consistent with the Company’s bylaws, (i) the Nominating and Corporate Governance Committee of the Board recommended that Thomas H. McCormick be appointed to the Board seat vacated by Mr. Saul III to serve out the remainder of Mr. Saul III’s term, and (ii) the Board voted in favor of such appointment. The Board vote was unanimous but for one director who did not attend the meeting. Mr. McCormick was not named to any committees of the Board.
