| Item 1.01. | Entry into a Material Definitive Agreement. |
On September 20, 2012, the Registrant extended the term of its Janel Group of New York subsidiary’s $2.5 million (limited to the borrowing base) revolving line of credit agreement with Community National Bank (“CNB”) from September 30, 2012 to October 29, 2012. All other terms of the CNB credit facility remained unchanged.
