Item 7.01 Regulation FD Disclosure

Press Release

On September 20, the Company issued a press release announcing the pricing of its offering of $600 million aggregate principal amount of senior notes due 2022 in an offering exempt from registration under the Securities Act of 1933, as amended. Interest on the notes is payable in cash on a semi-annual basis and will accrue at a rate of 5.75% per annum. The press release is attached hereto as Exhibit 99.1.
