ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On September 2, 2012, China Shouguan Mining Corporation (“the Company”) and SHENG LONG ENTERPRISES LIMITED (the “Investor”) entered into an amendment (“Amendment”) of a subscription agreement executed by the Investor and the Company on August 3, 2012 (the “Subscription Agreement”) which required the Investor to purchase 10,000,000 shares of common stock of the Company at a subscription price of $0.5/share, for an aggregate gross cash purchase price of $5,000,000 under Regulation S by September 2, 2012. The Amendment extends the time of the investment by 30 days to October 2, 2012. The Subscription Agreement was filed as an Exhibit to the Company’s August 9, 2012 Current Report on Form 8-K.
