Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On September 4, 2012, Tengion, Inc. (the “Company”) was notified by The NASDAQ Stock Market (“NASDAQ”) of its hearing panel’s determination to delist the Company’s common stock from NASDAQ effective at the open of business on Thursday, September 6, 2012.  The delisting was based on the Company’s non-compliance with NASDAQ’s minimum stockholders’ equity requirement set forth in Listing Rule 5550(b)(1).  Effective at the opening of the market on September 6, 2012, the Company’s common stock will be transferred from The NASDAQ Capital Market to the OTCQB, which is operated by OTC Markets, Inc. and will continue to trade under the symbol TNGN.
 
On September 5, 2012, the Company issued a press release announcing NASDAQ’s decision to delist the Company’s common stock.  A copy of the Company’s press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
