Item 2.01 Completion of Acquisition or Disposition of Assets.
On August 31, 2012, GAIN Capital Group, LLC (“Gain”), a wholly-owned subsidiary of Gain Capital Holdings, Inc., consummated its previously announced acquisition of Open E Cry, LLC (“OEC”), an online futures broker, from optionsXpress Holdings, Inc., (“optionsXpress”), a subsidiary of The Charles Schwab Corporation, for a purchase price of $12 million. Gain previously announced that it had entered into a Stock Purchase Agreement with optionsXpress on June 27, 2012.
