On August 24, 2012, Marshall Laitsch tendered his resignation as a member of the Board of Directors of Manhattan Bancorp (the “Company”) and its wholly-owned subsidiary, Bank of Manhattan, N.A. Mr. Laitsch’s resignation did not result from any disagreement with the Company concerning any matter relating to the Company’s operations, policies or practices.
