UQM Technologies, Inc. (the "Company") and Stifel, Nicolaus & Company, Incorporated Company ("Stifel") are parties to the At-The-Market Equity Offering Sales Agreement dated as of September 15, 2010 (the "Agreement"), which provides for the Company, at its election, to sell shares of its common stock from time to time at the then market price of the stock. The Company has made no sales of common stock under the Agreement. In light of the current market price of the common stock, on August 14, 2012 the Company and Stifel terminated the Agreement.
