Item 8.01 Other Events.
On August 15, 2012, Scientific Games Corporation issued a press release relating to the pricing of $300 million of 6.250% Senior Subordinated Notes due 2020 offered by its subsidiary, Scientific Games International, Inc. (the “2020 Notes”). The 2020 Notes will be issued in a private offering to qualified institutional buyers in accordance with Rule 144A and to persons outside the United States under Regulation S under the Securities Act of 1933, as amended. The offering of the 2020 Notes is expected to close on or about August 20, 2012, subject to customary closing conditions. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
