Item 8.01 Other Information.
On August 15, 2012, Bridgepoint Education, Inc., or the Company, announced that Andrew S. Clark and Daniel J. Devine, the Company's President and Chief Executive Officer, and Executive Vice President and Chief Financial Officer, respectively, have each terminated their trading plans, which were adopted pursuant to Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, as disclosed on the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on August 13, 2010. Mr. Clark and Mr. Devine terminated their trading plans on August 14, 2012 and August 15, 2012, respectively.
