FS Investment Corporation II Provides Second Quarter Results and Announces Details of Quarterly Stockholder Conference Call
 
PHILADELPHIA, PA, August 14, 2012 – FS Investment Corporation II (“FSIC II”), a business development company focused on investing primarily in the debt securities of private U.S. companies, provides an overview of its operating results for the quarter ended June 30, 2012. As previously announced, FSIC II will hold its second quarter investor conference call at 4:00 p.m. Eastern Time on Wednesday, August 15, 2012 to discuss these results.
 
Financial Highlights
 
·  
As of August 13, 2012, FSIC II had raised total equity capital of approximately $95.6 million, including approximately $18.4 million raised pursuant to a private placement to members of FSIC II’s board of directors and individuals and entities affiliated with FSIC II’s investment adviser and sub-adviser, GSO / Blackstone Debt Funds Management LLC.

During the three months ended June 30, 2012, FSIC II:
 
o  
Generated net realized capital gains of approximately $4,000; and
 
o  
Paid cash distributions to investors totaling $0.0302 per share, representing an annualized distribution yield of 7.25% based on FSIC II’s current public offering price per share.
 
·  
As of June 30, 2012:
 
o  
FSIC II’s portfolio consisted of investments in 26 portfolio companies, in senior secured loans, second lien secured loans, senior secured bonds and subordinated debt;
 
o  
The weighted average purchase price of the investments in FSIC II’s portfolio was 95.1% of par value;
 
o  
FSIC II’s estimated gross annual portfolio yield, prior to leverage, was 10.7% based on the purchase price of its investments; and
 
o  
The weighted average credit rating of the investments in FSIC II’s portfolio that were rated was B2 based on the Moody’s scale.
 
Recent Notable Announcements
 
·  
On July 2, 2012, Del River LLC (“Del River”), a newly-formed, wholly-owned special purpose financing subsidiary of FSIC II, entered into a total return swap for a portfolio of senior secured floating rate loans with Citibank N.A. (“Citibank”). Pursuant to the terms of the total return swap, Del River may select a portfolio of loans with a maximum aggregate market value of $100 million. Del River pays Citibank interest at a rate equal to one-month LIBOR plus 1.25% per annum.
 
FSIC II’s Chairman and Chief Executive Officer, Michael C. Forman, commented, “Since commencing operations in June 2012 with a significant sponsor investment, we are pleased with the attractive investments brought to us by our sub-adviser, GSO / Blackstone.  We believe the current loan market environment is favorable for long-term investors and offers significant investment opportunities for FSIC II going forward.”

FSIC II will hold its second quarter investor call on Wednesday, August 15, 2012, at 4:00 p.m. Eastern Time.  In order to participate, interested parties should dial (888) 895-5271 at least 10 minutes prior to the beginning of the conference call and provide the confirmation code 32934547 when prompted.
