Item 8.01 Other Events.

On August 13, 2012, Freescale Semiconductor, Inc. (a wholly owned indirect subsidiary of Freescale Semiconductor, Ltd.) delivered to the holders of its 8⅞% Senior Fixed Rate Notes due 2014 (the "Fixed Rate Notes") notice that it will redeem $100,000,000 aggregate principal amount of the Fixed Rate Notes. The redemption date is September 12, 2012 (the "Redemption Date"). The redemption price for the Fixed Rate Notes is 102.219% of the outstanding aggregate principal amount of the Fixed Rate Notes being redeemed, plus accrued and unpaid interest to, but not including, the Redemption Date. Freescale plans to pay the redemption price and accrued and unpaid interest using cash on hand. The Fixed Rate Notes shall be redeemed pro rata in amounts of $2,000 or whole multiples of $1,000 in excess thereof, and no Fixed Rate Note of less than $2,000 shall be redeemed. Upon surrender of a Fixed Rate Note, a new Fixed Rate Note or Fixed Rate Notes in principal amount equal to the unredeemed portion of the original Fixed Rate Note representing the same indebtedness to the extent not redeemed will be issued in the name of the Holder of the Fixed Rate Notes upon cancellation of the original Fixed Rate Note.
