As a result of acquiring certain assets from Sonoro Energy Ltd., as reported in Form 8-K filed with the Securities and Exchange Commission on July 31, 2012, Petrosonic Energy, Inc. (the “Company” ) acquired controlling interest in Petrosonic Albania Sha. As a result of the acquisition, Petrosonic Albania Sha. became a majority owned subsidiary of the Company.

The fiscal year end of Petrosonic Albania Sha. is December 31.

On August 9, 2012, the Board of Directors of the Company approved changing the fiscal year end of the Company from October 31 to December 31 as a result of the acquisition of Petrosonic Albania Sha. The transition period will be covered under report on Form 10-K for the fiscal year ended December 31, 2011.
