On August 7, 2012, the Board of Directors of the Company approved and adopted an amendment to the first paragraph (titled “DATE, TIME, PLACE (IF ANY) AND CALL OF MEETINGS”) of Section 5 (titled “MEETINGS”) of Article II of the Company’s By-laws to delete language regarding the Company’s President’s ability to call a special meeting of the stockholders.
The foregoing description of the amendment to the Company’s By-laws and the pertinent provisions of the By-laws is qualified in its entirety by reference to the amended By-law, a copy of which is filed as Exhibit 3.1 to this current report on Form 8-K and incorporated by reference herein.
