          On August 9, 2012, Elizabeth Arden, Inc. (the "Company") issued a press release (i) to announce its financial results for the fourth quarter and fiscal year ended June 30, 2012, and (ii) to provide net sales, earnings per diluted share, and gross margin guidance for the fiscal year ending June 30, 2013, and net sales and earnings per diluted share guidance for the quarter ending September 30, 2012 and the six months ending December 31, 2012.

          A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K.
