Item 2.02 Results of Operations and Financial Condition.
On August 8, 2012, RDA Holding Co. (the “Company”) issued a press release announcing the financial results of the Company for the quarter ended June 30, 2012. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Effective August 3, 2012, Dan Lagani, Executive Vice President and President, North America, is leaving the Company to pursue other endeavors.
