On August 3, 2012, GSE Holding, Inc. (the “Company”) issued a press release announcing the resignation of William F. Lacey as Executive Vice President and Chief Financial Officer. Mr. Lacey will continue to oversee the Company's financial operations until a new chief financial officer is hired. A copy of that press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
