Item 5.02         Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 26, 2012, Philip E. Fague, 52, Senior Executive Vice President, Assistant Secretary and Treasurer of Orrstown Financial Services, Inc. (the “Company”), was appointed as principal financial officer of the Company.  From 1997 to June 2011, Mr. Fague served as Executive Vice President of Orrstown Bank (the “Bank”).  Since September 2009 Mr. Fague has served as Mortgage and Consumer Business officer of the Bank.  From January 2008 to September 2009, Mr. Fague served as Chief Retail Officer of the Bank and, from 2002 to 2008, as Chief Sales and Service Officer of the Bank.  Mr. Fague is a Certified Public Accountant.
 
The terms of Mr. Fague’s employment with the Company and the Bank, including the description of his Executive Employment and Change in Control Agreement, were included in the Company’s Proxy Statement dated March 30, 2012.  Such description is  incorporated herein by this reference.

There were no transactions between Mr. Fague and the Company and the Bank of the type required to be disclosed in response to Item 404(a) of Regulation S-K.
