Explanatory Note
Liberty Media Corporation hereby files this Current report on Form 8-K/A to amend the original Form 8-K filed with the Securities and Exchange Commission on July 27, 2012 for the sole purpose of including Exhibit 99.1 which was inadvertently omitted from the original Form 8-K.
Item 7.01. Regulation FD Disclosure
On July 25, 2012, Liberty Media Corporation (“Liberty”) announced it intends to hold its Annual Meeting of Stockholders on Wednesday, August 8, 2012 at 10:45 a.m., Mountain Time, at 8900 Liberty Circle, Englewood, Colorado, 80112. At the meeting, Liberty may make observations regarding its financial performance.
This Item 7.01 of this Current Report on Form 8-K and the press release attached hereto as Exhibit 99.1 are being furnished to the Securities and Exchange Commission under Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD.
