(b) On July 24, 2012, Chris Gordon resigned from his position as a member of the Board of Directors of Accellent Inc. (the “Board”) and the Board’s Audit Committee.

(d) On July 24, 2012, the Board appointed Jeffrey Schwartz as a member of the Board and the Board’s Audit Committee. Mr. Schwartz is a Principal at Bain Capital and joined the firm in 2004. Bain Capital designated Mr. Schwartz for election pursuant to a Stockholders’ Agreement, dated as of November 16, 2005, among Accellent Holdings Corp., our parent company, an affiliate of Kohlberg Kravis Roberts & Co. L.P. and certain affiliates of Bain Capital.

Prior to joining Bain Capital, Mr. Schwartz worked at Lehman Brothers as an equity research analyst. Mr. Schwartz received a B.A. in economics from Yale University and an M.B.A. from the Wharton School of the University of Pennsylvania. Mr. Schwartz also serves as a member of the Board of Directors of Air Medical Group Holdings.
